Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into by and between the undersigned parties (“Parties”) as of the date of signature.

  1. Purpose

The Parties wish to explore a potential business relationship or engage in discussions regarding certain confidential and proprietary information (“Purpose”). In connection with this Purpose, the Parties may disclose or have access to certain confidential and proprietary information.

  1. Confidential Information

For purposes of this Agreement, “Confidential Information” refers to any data or information, oral or written, disclosed by one Party (“Disclosing Party”) to the other Party (“Receiving Party”) that is marked or identified as confidential or proprietary, or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure. This may include, but is not limited to, business plans, financial statements, trade secrets, technical data, customer lists, software, designs, inventions, and other proprietary materials.

  1. Exclusions from Confidential Information

Confidential Information does not include information that:

  • a) Is or becomes publicly available through no fault of the Receiving Party;
  • b) Is rightfully received from a third party without breach of any obligation of confidentiality;
  • c) Is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information;
  • d) Was known to the Receiving Party prior to its disclosure by the Disclosing Party; or
  • e) Is required to be disclosed by law or governmental regulation, provided that the Receiving Party gives prompt written notice to the Disclosing Party of such requirement and cooperates with any efforts to limit the scope of such disclosure.
  1. Obligations of the Receiving Party

The Receiving Party agrees:

  • a) To maintain the confidentiality of the Disclosing Party’s Confidential Information and to take all reasonable precautions to protect such information;
  • b) Not to use the Confidential Information for any purpose other than the Purpose of this Agreement;
  • c) Not to disclose any Confidential Information to any third party without the prior written consent of the Disclosing Party;
  • d) To return or destroy all Confidential Information upon the request of the Disclosing Party or upon termination of this Agreement.
  1. Term

The obligations of confidentiality under this Agreement shall continue for a period of [specify duration, e.g., two (2) years] from the date of disclosure of the Confidential Information, or until such time as the Confidential Information no longer qualifies as confidential, whichever is later.

  1. No License

Nothing in this Agreement shall be construed as granting any rights, by license or otherwise, to any Confidential Information disclosed under this Agreement, except as expressly set forth herein.

  1. Return of Materials

Upon the Disclosing Party’s request, the Receiving Party agrees to promptly return or destroy all documents and other tangible materials representing the Disclosing Party’s Confidential Information, including all copies thereof.

  1. No Obligation

Neither Party has any obligation under this Agreement to enter into any further agreement or business relationship with the other Party. The exchange of Confidential Information under this Agreement does not commit either Party to negotiate or enter into any agreement or relationship, or to disclose any further Confidential Information.

  1. Remedies

The Receiving Party acknowledges that any breach or threatened breach of this Agreement may cause irreparable harm to the Disclosing Party, for which monetary damages may not be an adequate remedy. Therefore, the Disclosing Party shall be entitled to seek injunctive relief and specific performance, in addition to any other remedies available at law or in equity.

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [specify jurisdiction].

  1. Entire Agreement

This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

  1. Amendments

This Agreement may be amended or modified only by a written agreement signed by both Parties.

  1. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

  1. Assignment

Neither Party may assign or transfer any rights or obligations under this Agreement without the prior written consent of the other Party.

  1. Execution

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

IN WITNESS WHEREOF, the Parties have executed this Non-Disclosure Agreement as of the date first above written.
